About this Event
The Japan Chapter of Columbia Venture Community (CVC) is pleased to invite you to a virtual session with Ryoichi Kaneko, Partner at Anderson Mori & Tomotsune, and Ryo Muramatsu, Corporate Venturing Co-Lead at Tokio Marine Innovation Lab Silicon Valley.
In this virtual session, we will introduce the basics and tips on the startup funding from a legal perspective, especially focusing on:
- Outline and key points of the essential steps in the funding process (including valuation, term sheet, due diligence, and negotiation)
- Overview of investment term sheets by featuring: the relation with the other major steps of the funding process and the shareholders agreement
- Comparison of the approach and viewpoint in startup funding between Japan and the US

コロンビアベンチャーコミュニティ・ジャパンチャプター（CVC Japan）では、アンダーソン・毛利・友常法律事務所 外国法共同事業のパートナー弁護士である金子涼一氏と東京海上イノベーションラボ・シリコンバレーのコーポレートベンチャーリング共同リードである村松亮氏にお話頂きます。
本オンラインセッションでは、スタートアップの資金調達について、特に以下のトピックに注目しつつ、法務の観点からの基本とアドバイスをご紹介します。
- 資金調達プロセスの主要なステップについての概観と留意点（バリュエーション、タームシート、デュー・ディリジェンス、契約交渉等）
- 資金調達と投資契約のタームシート（資金調達のプロセスにおける他のステップおよび株主間契約との関係を中心）

Ryoichi Kaneko
Partner at Anderson Mori & Tomotsune
Ryoichi Kaneko has extensive experience notably in M&A, private equity, venture capital, and startup law. In the startup space, Mr. Kaneko provides practical advice in startup investment for a broad range of domestic and international VCs and companies (including CVCs) and also supports various startups on legal issues such as corporate, labor and intellectual property. Through his work at the leading law firms in London and Madrid, Mr. Kaneko has the distinct strength in advising to international clients on the business in Japan.

村松亮
コーポレートベンチャーリング共同リード
東京海上ホールディングス株式会社のイノベーション探索施設であるイノベーションラボのシリコンバレーオフィスに所属。同オフィスにおいて、東京海上ホールディングスのCVCであるTokio Marine Future Fundへの専従要員として、主に米国のシードからアーリーステージのスタートアップへの投資業務（ソーシング・デューディリジェンス・投資メモの作成等）に従事している。東京海上ホールディングスでの勤務以前は、アンダーソン・毛利・友常法律事務所において、弁護士として、スタートアップ投資契約のドラフト及びレビュー（VC側及びスタートアップ側の双方）等に従事。
Ryo Muramatsu
Corporate Venturing Co-Lead at Tokio Marine Innovation Lab Silicon Valley
Ryo is a Corporate Venturing Co-Lead at Tokio Marine Innovation Lab Silicon Valley, where he works on seed and early stage startup investments, as a dedicated staff for Tokio Marine's corporate venture arm, Tokio Marine Future Fund. Prior to that, Ryo worked as an attorney at Anderson Mori & Tomotsune, one of Japan's leading law firms, where he handled startup investments and startup M&A. He holds a law degree from the University of Tokyo, a J.D. from Waseda Law School, an LLM degree from Columbia Law School, and is admitted to the NY State Bar.
